INDEMNITY.

You agree to defend, indemnify, and hold Columbia Center, its officers, directors, editors, employees, agents, and licensors harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these Terms of Use, or arising out of a claim by a third party relating to the use of the Site, or any breach or violation of this agreement or any other term or condition contained on the Site..

GOVERNING LAW; JURISDICTION.

Columbia Center is based in Mequon, Wisconsin, in the United States of America. It makes no claims that the Site Content is appropriate or may be downloaded outside of the United States. Access to the Content may not be legal by certain persons or in certain countries. Your use of this Site, and these Terms of Use, shall be goverened and interpreted in accordance with the laws of the State of Wisconsin, except for its laws regarding conflicts of laws. Any claim, suit or action you initiate arising out of the use of the Site must be venued in the circuit court for Ozaukee County, Wisconsin. The following provisions survive the expiration or termination of this Agreement for any reason whatsoever: Limitation of Liability, User Agreements, Indemnity, Jurisdiction, and Complete Agreement.



USERS’ AGREEMENTS.

Users will not upload or transmit any communications or content of any type that infringes or violates any rights of any party.

Users will not use this site for any purpose in violation of local, state, national or international laws.

Users will not use this site as a means to distribute advertising or other unsolicited material to any third party.

Users will not post material that is unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous, hateful or embarrassing to any other person or entity as determined by us in our sole discretion.

Users will not impersonate another person.

Users will not hold Columbia Center or any of its affiliates, subsidiaries or parent company liable for damages including (but not limited to) loss of wages, revenue or business because of any services related to or provided by the Site. The sole and exclusive remedy for dissatisfaction with or claims related to the Site will be for you to stop using the Site.

Users agree to comply with all user responsibilities and obligations as stated in these Terms of Use.

USERS’ REPRESENTATION.

The Site is intended for use by persons 18 years old and older. Columbia Center and the Site will not knowingly permit persons under the age of 18 years to register on or use the Site. All site users represent and warrant that they are at least 18 years of age and that they possess the legal right and ability to agree to these Terms of Use and to use this site in accordance with these Terms of Use.

PARENTSPACE, DISCUSSION FORUMS, SWAP N SHOP, BLOGS.

If you use the interactive features of the Site, you also agree to the following.

By posting any comments, posts or other material on the Site, you give Columbia Center the irrevocable right to reproduce, distribute, publish, display, edit, modify, create derivative works from, and otherwise use your submission for any purpose in any form and on any media. You also agree that you will not:

1.	Post material that infringes on the rights of any third party, including intellectual property, privacy or publicity rights
2.	Post material that is unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous, hateful, or embarrassing to any other person or entity as determined by Columbia Center in its sole discretion
3.	Post advertisements or solicitations of business
4.	Post chain letters or pyramid schemes
5.	Impersonate another person
6.	Allow any other person or entity to use your identification for posting or viewing comments
7.	Post the same note more than once or "spam"

Columbia Center reserves the right (but is not obligated) to do any or all of the following:

1.	Remove communications that are abusive, illegal or disruptive, or that otherwise fail to conform with these Terms and Conditions.
2.	Terminate a user's access to the blog feature or the Site upon any breach of these Terms and Conditions.
3.	Edit or delete any communications posted on the blog feature, regardless of whether such communications violate these standards.

Finally, you agree that you will indemnify Columbia Center against any damages, losses, liabilities, judgments, costs or expenses (including reasonable attorneys' fees and costs) arising out of a claim by a third party relating to any material you have posted.

CHANGES.

These Terms of Use may change from time to time in Columbia Center's sole discretion. And all canges are effective immediately unless specifically stated. You are responsible for reading these Terms of Use each time you access the Site.

COMPLETE AGREEMENT.

These Terms of Use constitute the entire agreement between you and ColumbiaCenter.org with respect to the use of the Site, and Content.
